Auction Terms and Conditions

All real estate is being offered by Salt Plains Properties (“Broker”) and is subject to the following Terms and Conditions. By registering to bid, all bidders acknowledge and agree to these Terms and Conditions.


Property Offering

The property is being offered in individual tracts, parcels, or units as described in the auction materials. Bidding may be conducted by the acre, in total price, or other method as specified in the auction announcement.

The final contract price shall be determined based on the bidding format stated in the auction materials.

Salt Plains Properties reserves the right to offer the property in separate tracts, combinations, or as a whole, and to determine the most favorable method at the sole discretion of the Seller.


Buyer Qualification

All bidders must be financially capable of completing the purchase.

Bidders using financing must provide lender pre-approval upon request. Bidders paying cash must provide proof of funds upon request.

Salt Plains Properties reserves the right to approve, reject, or disqualify any bidder at its sole discretion.


Purchase Contract and Earnest Money

The successful bidder shall execute a Real Estate Purchase Agreement immediately following the auction or within the timeframe specified in the auction announcement.

An earnest money deposit equal to ten percent (10%) of the total purchase price shall be due upon execution of the purchase agreement.

Earnest money shall be payable in certified funds and delivered to the designated title company.

Earnest money shall be held in escrow until closing.


Closing

Closing shall occur with Slamal and Swayden, Inc on or before October 26th, 2026.

The remaining balance shall be paid in certified funds at closing.


Title and Closing Costs

A preliminary title commitment will be made available for review prior to closing.

Title insurance and closing costs shall be allocated between Buyer and Seller as specified in the purchase agreement.


Taxes

Property taxes shall be prorated between Buyer and Seller as of the date of closing unless otherwise specified in the purchase agreement.


Possession

Possession shall be delivered at closing unless otherwise stated in the purchase agreement, auction materials, or subject to existing leases, crops, or possession agreements.


Mineral Rights

Any mineral rights owned by Seller shall transfer to Buyer unless otherwise reserved by Seller and disclosed prior to auction.


Property Condition and Due Diligence

All property is being sold “AS IS, WHERE IS,” with no warranties or guarantees, expressed or implied.

Buyer is responsible for conducting all inspections, investigations, and due diligence prior to bidding.

Auction Process and Bidding

The auction may be conducted online, in person, or in a combined format.

Salt Plains Properties reserves the right to:

  • Disqualify any bidder
  • Extend, pause, postpone, or cancel the auction
  • Modify auction procedures as necessary

If a soft close is utilized, bidding will remain open until no further bids are received within the specified extension period.

Bidders participate at their own risk. Salt Plains Properties shall not be held liable for technical issues, platform failures, delays, or bid submission errors.


Broker Participation / Buyer’s Premium

A Buyer’s Premium equal to one percent (1%) of the final high bid price shall be added to the high bid to determine the Total Contract Price if the successful high bidder was registered by a cooperating brokerage.

The Buyers premium shall be paid by the Buyer at closing.

Buyer registration by cooperating brokerages must be submitted and approved by the listing brokerage prior to the Buyer registering or placing any bids in the auction.


Seller Confirmation

All property is being sold subject to Seller confirmation unless otherwise stated in the auction announcement.

Seller reserves the right to accept or reject any and all bids.


Default

If Buyer fails to perform according to the terms of the purchase agreement, the earnest money deposit may be retained as liquidated damages, unless otherwise agreed upon in writing by Buyer and Seller.
